Welcome to the websites and online services of Sumextra ("Sumextra," "we," or "us"). This Global Terms of Use Agreement (this "Agreement") is a legal contract between Sumextra and yourself (referenced herein with "you" or with "your"), which governs your use of and/or access to our Services (defined below).

This Agreement applies to all persons and entities who visit, use, or access any of the Services ("Users," or "User"). By accessing or using the Services, you signify that you have read, understood, and agree to be bound by the terms and conditions of this Agreement, whether or not you are a registered user, partner, or customer of the Services. If you are accepting on behalf of your employer or another entity, you represent and warrant that you have full legal authority to enter into this Agreement on behalf of such employer or other entity and are able to bind such employer or other entity to the terms and conditions of this Agreement.

1. Acceptance of Terms

By accessing or using Sumextra's services, you agree to comply with these terms and conditions. If you do not agree, you may not use our services.

2. Use of Services

Sumextra provides services connecting job seekers and employers. Use of our platform must comply with these terms, and you may not misuse, alter, or unlawfully use the services.

Prohibited Activities

You may not use bots, crawlers, or other automated means to access, extract, or manipulate data from Sumextra's platform without explicit written permission. Such activities are strictly prohibited and may result in account suspension, termination, and legal action.

Responsibility of Job Seekers and Clients

Users are responsible for the accuracy and integrity of the content they post and the communications they initiate on Sumextra. Misrepresentation, misleading behavior, or violations of our terms may result in suspension or termination of access.

3. Account Information

You are responsible for maintaining the confidentiality of your account login credentials and all activity under your account. Notify Sumextra immediately of any unauthorized use.

4. User Conduct and Prohibited Activities

You may not use our services to engage in harmful, illegal, or fraudulent activities, post inappropriate or offensive content, or misrepresent yourself or your intentions. Violations will result in account suspension or termination.

5. Proprietary Rights

Sumextra grants you a limited license to access our services and content. This license does not transfer ownership of Sumextra's intellectual property, including but not limited to software, images, logos, and text. Unauthorized use, reproduction, or modification of any proprietary content is strictly prohibited.

Feedback

By submitting feedback to Sumextra, you grant us a royalty-free, worldwide license to use, modify, and publish the feedback without further approval or compensation. You waive any moral rights in such feedback.

6. Trials and Paid Services for Clients

A. Billing Policies

Paid services are billed upfront, and charges are subject to change. If you dispute a charge, you must submit it within 30 days, paying any undisputed amount. No refunds are provided for unused services.

B. No Refunds for Paid Services

Paid services are non-refundable. Cancellations are effective only at the end of the billing cycle, and account termination due to violations will not result in a refund.

C. Payment Information, Taxes, and Delinquent Payments

You agree to maintain up-to-date payment details. Applicable taxes and delinquent payment fees may apply, and overdue balances may result in account suspension.

D. Credit/Debit Card Payments

By providing a payment method, you authorize Sumextra to charge recurring fees until the account is canceled. Payment details may be shared with third-party processors for transactions and collections.

E. Free Trials and Subscription Renewals

Free trials automatically convert to paid subscriptions unless canceled. All subscriptions renew automatically unless you opt out before the next billing period. Cancellations take effect at the end of the billing period, and no refunds are given.

F. Subscription Cancellations

Users may cancel subscriptions at any time by accessing their account settings or contacting support. Detailed instructions for cancellation are available within the Help Center, or users may contact support for further assistance. Upon cancellation, subscription services will continue until the end of the billing cycle. No refunds will be issued for unused portions of the subscription period.

G. Suspension or Termination

Sumextra may suspend or terminate services due to breach of terms, abusive behavior, or other violations. If terminated, you may not create a new account. In cases of Sumextra-initiated terminations, a pro-rata refund may apply.

7. Third-Party Content and Services

Third-Party Content: Refers to any content, data, or materials provided by third parties, including job listings, advertisements, and user-generated content. Sumextra is not responsible for verifying the accuracy, completeness, or legality of such content. Users are encouraged to exercise caution and independently verify the reliability of third-party content before acting upon it. Users assume all responsibility when using or relying on third-party content.

8. Limitation of Liability

Sumextra is not liable for any indirect, incidental, or consequential damages arising from your use of our services. Our maximum liability in any dispute will be limited to the amount you paid for services in the six months preceding the event.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind. Sumextra does not guarantee the accuracy, reliability, or availability of our services or content.

10. Indemnification

You agree to indemnify and hold Sumextra harmless from any claims, damages, or expenses arising out of your use of our services or breach of these terms.

11. Governing Law

These terms are governed by and construed in accordance with the laws of New York, NY. Any disputes will be resolved in the appropriate courts of New York, NY.

12. Changes to Terms

Sumextra reserves the right to modify these terms at any time. Changes will be effective upon posting. Continued use of our services after such changes indicates acceptance of the revised terms.

13. Force Majeure

Sumextra shall not be held liable for any failure or delay in performance of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, natural disasters, or network failures.

14. Content Moderation

Sumextra reserves the right to monitor and moderate all user-generated content. We may remove or suspend any content that violates our guidelines, is offensive, illegal, or otherwise deemed inappropriate. Repeated violations may lead to account suspension or termination.

15. User Disputes

In the event of a dispute between users, including but not limited to disagreements related to job listings, hiring practices, or interactions, Sumextra encourages users to resolve the dispute amicably. However, Sumextra is not responsible for resolving such disputes and disclaims any liability regarding any outcomes.

16. Definitions

Third-Party Content: Refers to any content, data, or materials provided by third parties, including job listings, advertisements, and user-generated content. Sumextra is not responsible for the accuracy, completeness, or legality of such content. Users assume all responsibility when using or relying on third-party content.

Services: Includes all functionalities, tools, and offerings provided by Sumextra through its website and platforms.

User: Refers to any individual or entity accessing or using the Sumextra platform, whether registered or not.

Account Suspension: Refers to the temporary or permanent disabling of a User's account due to violations of terms, abusive behavior, or other prohibited activities.

Abusive Behavior: Includes but is not limited to harassment, hate speech, spamming, fraudulent activities, or any actions that disrupt or harm the platform or its users.
